Seller Terms & Conditions

These Seller Terms & Conditions ("Seller Terms" or "Agreement") govern your use of the indikala.in platform as a seller. By registering as a seller and completing the onboarding process, you agree to be bound by these terms. Please read them carefully before proceeding.
1. Definitions
In these Seller Terms, the following terms shall have the meanings assigned to them below:
- "Platform" means the indikala.in website, mobile applications, and any other digital interface operated by Amarzen Technologies.
- "Seller" or "You" means an individual or entity that has registered on the Platform as a seller and has been approved to list and sell products.
- "Buyer" means a registered user of the Platform who purchases or intends to purchase products listed by sellers.
- "Services" means the marketplace technology services provided by Indikala, including the infrastructure for product listing, order management, payment collection, logistics coordination, and seller support.
- "Content" means all product listings, images, photographs, descriptions, pricing, variants, specifications, and any other information or material uploaded or submitted by you to the Platform.
- "Confidential Information" means any non-public information relating to Indikala's business, including but not limited to platform architecture, algorithms, commission structures, business metrics, buyer personal data, seller performance data, internal tools, API keys, pricing strategies, and any information marked as confidential or that a reasonable person would understand to be confidential.
- "Seller Terms" or "Agreement" means this document together with the Privacy Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, and any other policies referenced herein, as updated from time to time.
- "Order" means a confirmed purchase made by a Buyer for a product listed by you on the Platform, for which payment has been successfully collected.
- "Payout" means the amount payable to you after deduction of Platform commission, GST on commission, applicable taxes (TDS/TCS), return adjustments, and any other outstanding obligations.
- "Indikala" means Amarzen Technologies (a sole proprietorship), the entity operating the Platform under the "Indikala" brand.
2. Platform Role
Indikala is a technology platform that connects sellers with buyers. Indikala does not purchase, own, store, or resell your products. You operate as an independent seller and are not an employee, agent, or partner of Indikala. Nothing in these terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Indikala.
Indikala acts solely as a marketplace facilitator. All contracts for the sale and purchase of products are entered into directly between you and the Buyer. Indikala's role is limited to providing the technology infrastructure and related services to facilitate such transactions.
3. Eligibility & Account Registration
To register and operate as a seller on Indikala, you must:
- Be at least 18 years of age. By registering, you represent that you meet this requirement.
- Be legally authorized to sell products in India, including holding all applicable licences and registrations required for your product category (e.g., FSSAI for food, BIS for specified products).
- Provide accurate, complete, and current information during onboarding and keep it updated at all times.
- Maintain the security of your account credentials. Your account is accessed via phone OTP, and you are responsible for all activity that occurs under your account.
- Notify Indikala immediately at support@indikala.in if you become aware of any unauthorized access to or use of your account.
Indikala reserves the right to reject any seller registration or to suspend any approved seller account at its sole discretion.
4. Seller Responsibilities
As a seller on Indikala, you are solely responsible for:
- Product Listings: Ensuring all product information including title, description, images, pricing, weight, and variants, is accurate, complete, and not misleading.
- Product Quality & Safety: Ensuring products meet applicable quality and safety standards.
- FSSAI Compliance: If you sell food products, you must hold a valid FSSAI registration or license appropriate for your turnover. Your FSSAI number will be displayed on your product listings. Operating without FSSAI registration for food products is a violation of these terms and may result in account suspension.
- GST Compliance: You must comply with all applicable GST laws. If required under the CGST Act, you must provide a valid GSTIN during onboarding.
- Tax Invoicing: You must issue proper tax invoices to buyers as required under GST law. For sellers registered under GST, invoices must include your GSTIN, HSN codes, and applicable tax breakup.
- Legal Metrology: Product listings must include MRP (where applicable), country of origin, net weight/quantity, and manufacturer/packer details as required by the Legal Metrology (Packaged Commodities) Rules 2011.
- Inventory: Maintaining accurate stock levels and promptly updating availability to prevent overselling.
- Packaging: Properly packaging products to prevent damage during transit. Indikala is not responsible for damage caused by inadequate packaging.
- Order Preparation: Preparing orders within your stated preparation time and handing them over to Delhivery for pickup.
- Buyer Communication: Responding to buyer queries and complaints within 48 hours.
- Returns & Refunds: Accepting valid returns and cooperating with the refund process as outlined in the platform's Refund & Cancellation Policy. Products are non-returnable by default. If you enable returns for a product, the return window can be up to a maximum of 4 days from delivery. Return shipping costs are borne by the seller.
5. Shipping & Fulfillment
All orders on Indikala are shipped exclusively through our logistics partner, Delhivery. Self-shipping is not permitted.
- You must enter accurate packed weight (in grams) and package size for each product when creating a listing.
- Delhivery will schedule a pickup from your registered address once an order is ready.
- Delivery charges are calculated by Delhivery based on your pincode, the buyer's pincode, and the package weight/dimensions, and are paid by the buyer at checkout.
- You may set an optional free delivery threshold (e.g., "Free delivery above ₹499") to encourage larger orders. When free delivery applies, the delivery cost is borne by you and deducted from your payout.
- Shipment protection: Orders that are fragile or of higher declared value are covered by Indikala Shipment Protection against in-transit loss or damage, up to the declared value of the goods. The protection premium is borne by Indikala at no cost to you. This does not cover damage caused by inadequate packaging or the inherent nature of the product, so you remain responsible for packing fragile items securely. Marking a product as fragile ensures it ships with the appropriate handling and protection.
6. Commission & Fees
- Indikala charges a category-based commission on each completed sale. The applicable commission rate is displayed when you list a product.
- Commission is calculated on the product sale price and is deducted from your payout along with GST on commission (18%).
- Commission rates may be updated with prior notice. The rate at the time of order placement applies to that order.
- No subscription fees, listing fees, or upfront charges. You only pay commission when you make a sale.
- If a product is returned, the full commission and GST on commission are reversed and credited back to you.
7. Payments, Deductions & Payouts
Indikala collects buyer payments via Razorpay on your behalf. Your payout is calculated after the following deductions:
Payout = Sale Amount minus:
- Platform commission: category-based percentage
- GST on commission: 18% of the commission amount
- GST TCS (0.5%): Tax Collected at Source under Section 52 of the CGST Act, remitted to GST authorities. You can claim this as tax credit when filing your GST returns.
- Income Tax TDS (0.1%): Tax Deducted at Source under Section 194O of the Income Tax Act, remitted to the Income Tax department. You can claim this as tax credit when filing your income tax return. TDS certificates (Form 16A) will be issued quarterly.
- Refund adjustments: if any, for returned orders
- Payouts are released 5 days after delivery confirmation.
- You must provide valid PAN and bank account details to receive payouts.
- If a buyer raises a complaint within the 5-day hold period, the payout for that order may be held until the issue is resolved.
- If you fail to respond to a buyer complaint within 48 hours, Indikala may deduct the refund amount from your held payout.
8. Response Obligation
You must respond to all buyer complaints and return requests within 48 hours. If you fail to respond:
- Indikala may automatically approve the buyer's refund request and deduct the amount from your held payout.
- Repeated non-responsiveness may result in reduced visibility, temporary suspension, or permanent deactivation of your account.
9. Confidentiality
In connection with your use of the Platform, you may receive or have access to Confidential Information. You agree to:
- Keep all Confidential Information strictly confidential and not disclose it to any third party without Indikala's prior written consent.
- Use Confidential Information solely for the purpose of selling on the Platform and for no other purpose.
- Apply at least the same degree of care to protect Confidential Information as you apply to your own confidential information, but in no case less than reasonable care.
Buyer data: Buyer personal data (including name, phone number, and delivery address) is shared with you solely for the purpose of fulfilling Orders. Such data constitutes Confidential Information and you must not: (a) use it for any marketing or promotional activity, (b) share it with any third party, (c) retain it beyond the period necessary to fulfill the Order and manage any applicable return window, or (d) use it to contact buyers outside the Platform.
Survival: Your confidentiality obligations survive termination of your seller account and continue indefinitely.
Exceptions: The above obligations do not apply to information that: (a) becomes publicly available through no fault of yours, (b) was already known to you before disclosure by Indikala, or (c) is required to be disclosed by applicable law or a court order, provided that you notify Indikala in writing as soon as reasonably practicable before making such disclosure, to allow Indikala to seek a protective order or other appropriate relief.
10. Intellectual Property
By listing products on Indikala, you represent and warrant that:
- You own or have the legal right to use all Content (images, descriptions, brand names) in your product listings.
- Your products do not infringe on any third-party intellectual property rights, including trademarks, copyrights, or patents.
- You grant Indikala a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your Content on the Platform, in marketing materials, social media, advertisements, search engine results, and any other medium for the purpose of promoting the Platform and facilitating sales. This license continues for as long as your Content remains on the Platform and for a reasonable period after removal for archival and legal purposes.
Indikala's IP: The Platform, including its name, logo, design, software, algorithms, and interface, is the exclusive property of Amarzen Technologies. You may not use Indikala's trademarks, trade names, or branding without prior written consent from Indikala. Any goodwill arising from your use of Indikala's trademarks inures solely to the benefit of Indikala.
11. Prohibited Items & Conduct
You must not list or sell:
- Counterfeit, pirated, or knock-off products
- Products that violate Indian law or regulations
- Hazardous, unsafe, or banned substances
- Products with misleading descriptions or images
- Items that infringe on intellectual property rights
- Food products without valid FSSAI registration
- Alcohol and tobacco products
- Narcotic drugs and psychotropic substances
- Weapons, ammunition, or explosives
- Wildlife products or items made from or derived from endangered species
- Prescription medicines and unapproved health products
- Adult or obscene content
- Stolen or smuggled goods
- Products that do not meet BIS (Bureau of Indian Standards) requirements where BIS certification is mandatory
- Pesticides and hazardous chemicals
- Any item prohibited under Indian law, including but not limited to the Drugs & Cosmetics Act 1940, Wildlife Protection Act 1972, Arms Act 1959, and the Narcotic Drugs & Psychotropic Substances (NDPS) Act 1985
You must not:
- Manipulate pricing, ratings, or reviews
- Contact buyers outside the Platform to circumvent Indikala's commission or divert transactions
- Share buyer personal information with third parties
- Use buyer data for marketing or any purpose other than order fulfillment
- Create multiple seller accounts without prior written authorization from Indikala
- Use bots, scripts, or automated tools to manipulate the Platform, including to inflate ratings, generate fake reviews, or artificially boost listing visibility
- Engage in price gouging, predatory pricing, or any pricing practice that is illegal under Indian consumer protection law
12. Content Guidelines
All Content you submit to the Platform must comply with the following guidelines:
- All Content must be original or you must have full rights to use it. You must not use copyrighted material without permission.
- Product images must accurately represent the actual product being sold. Stock photos may only be used if they accurately depict the exact product a buyer will receive.
- Product descriptions must be truthful and not exaggerated or misleading. Health and nutritional claims must be supported by factual evidence.
- Listings must not include competitor references, external website URLs, personal contact information (phone numbers, email addresses), or any attempt to direct buyers off the Platform.
- Indikala reserves the right to remove, modify, or reject any Content that violates these guidelines without prior notice to you. Repeated Content violations may result in account suspension.
13. Indemnification
You agree to indemnify, defend, and hold harmless Amarzen Technologies, its proprietor, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, penalties, fines, and expenses (including reasonable legal fees) arising from or related to:
- Defective, unsafe, or misrepresented products you sell on the Platform
- Any violation of applicable laws (including FSSAI, GST, Legal Metrology, Consumer Protection Act, DPDP Act, or any other Indian law or regulation)
- Intellectual property infringement in your listings or Content
- Any breach of your confidentiality obligations under Section 9
- Any third-party claims related to your products, services, or conduct on the Platform
- Your breach of any representation, warranty, or obligation under these Seller Terms
14. Limitation of Liability
Indikala provides the technology platform and is not liable for:
- Loss of sales or revenue due to platform downtime or bugs
- Buyer disputes or complaints about your products
- Shipping delays or damage caused by logistics partners
- Any indirect, incidental, or consequential damages arising from your use of the Platform
Liability cap: Indikala's total aggregate liability to you for any and all claims arising from or related to these Seller Terms or your use of the Platform shall not exceed the total commission earned by Indikala from your sales in the 3 months preceding the event giving rise to the claim.
Exclusion of consequential damages: Indikala shall not be liable for any loss of profits, loss of revenue, loss of data, loss of goodwill, or any indirect, incidental, special, consequential, or punitive damages, even if Indikala has been advised of the possibility of such damages.
Nothing in this Section limits Indikala's liability for fraud, willful misconduct, or any liability that cannot be excluded or limited under applicable Indian law.
15. Account Suspension & Termination
- Indikala may suspend or deactivate your account for policy violations, repeated complaints, non-responsiveness, listing of prohibited items, or fraudulent activity, with or without prior notice depending on the severity of the violation.
- You may close your account at any time by contacting support@indikala.in. Pending orders must be fulfilled before closure.
- Upon termination, your product listings will be removed from the Platform.
Payout hold on termination: Upon termination (whether initiated by you or by Indikala), any pending payouts will be held for a period of 90 days to account for pending disputes, return requests, or chargebacks. After the hold period, remaining funds will be released to your registered bank account after deducting any outstanding obligations owed to Indikala or buyers.
Appeal: If your account is suspended, you may submit an appeal to support@indikala.in within 30 days of the suspension notification. Indikala will review the appeal and respond within 15 business days. Indikala's decision on the appeal is final.
Effect of termination: Upon termination, your access to the Seller Portal will be revoked, all active listings will be removed, and you must fulfill any pending Orders. Your obligations under Sections 9 (Confidentiality), 13 (Indemnification), 14 (Limitation of Liability), and 21 (Dispute Resolution) survive termination and remain in full force and effect.
16. Data & Privacy
Indikala collects and processes your data (store information, KYC documents, bank details, order history) for platform operations, payment processing, and legal compliance. Buyer information shared with you (name, phone, address) must be used solely for order fulfillment and must not be shared with third parties or used for marketing. Your obligations as a data processor: As a seller, you receive buyer personal data as a data processor under the Digital Personal Data Protection (DPDP) Act 2023. You must:
- Process buyer personal data only for order fulfillment purposes and for no other purpose.
- Implement reasonable technical and organisational security measures to protect buyer personal data from unauthorized access, disclosure, or loss.
- Delete buyer personal data once the Order is fulfilled and the applicable return window has expired, unless retention is required by applicable law (e.g., for GST or income tax compliance).
- Notify Indikala immediately at support@indikala.in if you become aware of any actual or suspected data breach involving buyer personal data.
Your KYC data: Indikala collects and processes your KYC data (PAN, GSTIN, FSSAI number, bank account details, and address proof) for identity verification, regulatory compliance, tax deductions (TDS/TCS), and payout processing. 17. Electronic Communications
By registering as a seller, you consent to receive communications from Indikala electronically, including via in-app notifications, email, SMS, and WhatsApp. These communications may include order notifications, policy updates, payout summaries, promotional materials, and legal notices. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
18. Compliance with Platform Policies
In addition to these Seller Terms, you agree to comply with all Platform policies as published and updated from time to time, including but not limited to:
- Privacy Policy
- Refund & Cancellation Policy
- Shipping & Delivery Policy
- Any category-specific guidelines published on the Platform
These policies are incorporated by reference into these Seller Terms and form part of the Agreement. Indikala will notify you of material changes to Platform policies via the Seller Portal or email. Continued use of the Platform after such notification constitutes your acceptance of the updated policies.
19. Fair Usage Policy
To ensure a fair and trustworthy marketplace for all users, Indikala monitors seller activity and performance metrics. The following may result in reduced listing visibility, temporary suspension, or permanent deactivation of your account:
- Excessively high cancellation or return rates relative to other sellers in your category
- Repeated failure to prepare orders within your stated preparation time
- Pattern of buyer complaints about product quality, misrepresentation, or packaging
- Unreasonably high pricing or frequent price manipulation
- Any indication of fraudulent, deceptive, or suspicious activity on the Platform
- Repeated violation of Content Guidelines or Prohibited Items policies
Indikala reserves the right to take corrective actions including but not limited to issuing warnings, reducing listing visibility, withholding payouts pending investigation, levying penalties, suspending order acceptance, or permanently deactivating your seller account. The severity of action will be proportionate to the nature and frequency of the violation. You may appeal any action taken under this section in accordance with Section 15 (Account Suspension & Termination).
20. Force Majeure
Indikala shall not be liable for any failure or delay in the performance of its obligations arising from circumstances beyond its reasonable control, including but not limited to natural disasters, floods, earthquakes, pandemics or epidemic outbreaks, government actions or orders, wars, civil unrest or riots, strikes or industrial action, power outages, internet or telecommunications disruptions, cyberattacks or denial-of-service attacks, or failure of third-party service providers including logistics partners, payment gateways, cloud infrastructure providers, or SMS/OTP service providers. In such events, Indikala will use reasonable efforts to resume normal operations as quickly as practicable.
21. Dispute Resolution
Any disputes arising from these Seller Terms that cannot be resolved amicably shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, Telangana. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties. The award of the arbitrator shall be final and binding on both parties.
Before initiating arbitration, the parties shall attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days from the date on which one party notifies the other of the dispute in writing.
22. Governing Law
These terms are governed by the laws of India. Subject to the arbitration clause in Section 21, any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
23. Severability
If any provision of these Seller Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties as closely as possible.
24. Waiver
The failure of Indikala to enforce any provision of these Seller Terms on any occasion shall not constitute a waiver of that provision or any other provision. No waiver by Indikala of any breach or default shall be deemed a waiver of any subsequent breach or default. A waiver of any term shall be effective only if made in writing and signed by an authorised representative of Indikala.
25. Assignment
Indikala may assign, transfer, or delegate any of its rights and obligations under these Seller Terms to any person or entity, including in connection with a merger, acquisition, restructuring, or sale of all or substantially all of its assets, without your prior consent. You may not assign or transfer your rights or obligations under these Seller Terms without the prior written consent of Indikala.
26. Entire Agreement
These Seller Terms, together with the Privacy Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, and any other policies referenced herein, constitute the entire agreement between you and Amarzen Technologies regarding your use of the Platform as a seller. These terms supersede all prior agreements, representations, warranties, and understandings, whether written or oral, between you and Indikala relating to the subject matter hereof.
27. Grievance Officer
In accordance with the Information Technology Act 2000 and the Consumer Protection (E-Commerce) Rules 2020, Indikala has designated a Grievance Officer to address seller concerns:

28. Changes to Seller Terms
We may update these terms from time to time to reflect changes in law, business practices, or Platform features. Changes will be posted on this page and notified to active sellers via the Seller Portal or email. The date at the top of this page will be updated accordingly. Continued use of the Platform after the effective date of the changes constitutes your acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the Platform and close your seller account.
